Vendor Terms & Conditions

These Terms and Conditions (“Agreement”) govern the relationship between the marketplace operator (“we”, “us”, “our”) and any individual or business (“Vendor”, “you”) who registers to sell products or services through this platform. By registering as a vendor, you agree to be bound by this Agreement in its entirety.

Section 1 — Eligibility & Registration

To register as a vendor on this marketplace you must be at least 18 years of age (or the legal age of majority in your jurisdiction), and capable of entering into a legally binding agreement.

  • You must provide accurate, current, and complete information during registration and keep your account details up to date at all times.
  • Business vendors must supply a valid business registration number, tax identification number, and any other documentation requested by the marketplace operator.
  • One vendor account per person or entity is permitted. Creating duplicate accounts is grounds for immediate suspension.
  • The marketplace operator reserves the right to approve, reject, or revoke vendor applications at its sole discretion.

Section 2 — Vendor Obligations

As a vendor, you are solely responsible for the products and/or services you list, sell, and fulfil through this platform. You agree to:

  • Accurately describe all listings, including materials, dimensions, condition, origin, and any relevant certifications.
  • Fulfil confirmed orders within the stated processing time and provide valid tracking information where applicable.
  • Maintain adequate stock levels and promptly remove or update listings that are out of stock or discontinued.
  • Respond to buyer enquiries and marketplace communications within 48 hours on business days.
  • Comply with all applicable laws, including consumer protection, product safety, import/export regulations, and tax obligations in your jurisdiction.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access.

Section 3 — Fees & Commission

Vendors agree to pay the applicable fees as set out in the current Fee Schedule, which may be updated from time to time with reasonable notice.

ℹ  Current commission rates and subscription plan details are published on the Vendor Dashboard under Settings > Billing. Check this regularly as rates may be adjusted with 30 days’ prior notice.

  • A commission percentage is deducted from each completed sale before the vendor’s payout is calculated.
  • Optional subscription plans may offer reduced commission rates or additional features in exchange for a recurring fee.
  • All fees are exclusive of applicable taxes (GST, VAT, sales tax, etc.) which remain the vendor’s responsibility.
  • The marketplace operator is not liable for any bank charges, currency conversion fees, or third-party payment processor fees incurred by the vendor.

Section 4 — Payments & Payouts

Vendor earnings are held in a pending balance and released according to the payout schedule determined by the marketplace operator.

  • Payouts are typically processed on a weekly or bi-weekly basis, subject to the minimum threshold stated in the Vendor Dashboard.
  • Vendors must provide valid banking or payment account details. Payouts to incorrect accounts cannot be reversed and are the vendor’s responsibility.
  • The marketplace operator may withhold or delay payouts if there is reason to suspect fraud, chargeback disputes, or policy violations pending investigation.
  • Vendors are responsible for declaring and remitting any taxes owed on their earnings in accordance with local law.

ℹ  Chargebacks or payment disputes initiated by buyers may result in the disputed amount being deducted from future payouts pending resolution.

Section 5 — Returns, Refunds & Disputes

Vendors must honour the marketplace’s minimum return and refund policy. Individual vendor return policies may be more generous but may not be more restrictive.

  • Buyers may request a return or refund within the window specified in the marketplace’s Buyer Protection Policy (typically 14–30 days from delivery).
  • Vendors are expected to resolve disputes directly with buyers in good faith before escalation to the marketplace operator.
  • If a dispute is escalated, the marketplace operator’s decision shall be final and binding on both parties.
  • Refunds for items not as described, damaged in transit, or not received are the vendor’s responsibility unless evidence proves otherwise.

Section 6 — Prohibited Items & Conduct

The following are strictly prohibited on this marketplace. Violations may result in immediate suspension and legal action.

  • Counterfeit, replica, or unauthorised goods infringing any third-party intellectual property rights.
  • Hazardous materials, weapons, controlled substances, or any items illegal in the buyer’s or seller’s jurisdiction.
  • Misleading, deceptive, or fraudulent listings, including fake reviews or inflated pricing.
  • Circumventing the platform by directing buyers to transact outside the marketplace to avoid fees.
  • Harassment, discrimination, or abusive communication toward buyers, other vendors, or marketplace staff.

Section 7 — Intellectual Property

You retain ownership of content you upload (photos, descriptions, logos). By listing on this platform, you grant the marketplace operator a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote your content for the purpose of operating and marketing the marketplace.

You warrant that all content you upload does not infringe any third-party intellectual property rights. The marketplace operator may remove content and suspend your account if a valid infringement claim is received.

Section 8 — Privacy & Data

The collection, storage, and use of vendor and buyer data is governed by our Privacy Policy, which forms part of this agreement. By accepting these terms you consent to the processing of your personal data as described therein.

  • Vendor access to buyer personal data (name, address, contact details) is limited to what is necessary to fulfil orders.
  • You must not use buyer data for any purpose other than order fulfilment, nor share it with third parties without express consent.
  • You agree to implement reasonable security measures to protect any personal data you handle.

Section 9 — Termination & Suspension

Either party may terminate this agreement with 30 days’ written notice. The marketplace operator may suspend or terminate your account immediately and without notice for material breaches of these terms, fraudulent activity, or where required by law.

  • Upon termination, any outstanding payout balance (minus applicable deductions for disputes or fees) will be released after a 90-day holding period.
  • Active orders at the time of termination must still be fulfilled or appropriately cancelled and refunded.
  • Provisions relating to intellectual property, liability, and dispute resolution survive termination.

Section 10 — Limitation of Liability

The marketplace operator provides the platform on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose.

ℹ  In no event shall the marketplace operator’s total liability to a vendor exceed the total fees paid by that vendor in the 12 months preceding the event giving rise to the claim.

The marketplace operator shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of or inability to use the platform.

Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law in your jurisdiction.

Section 11 — Governing Law & Amendments

These terms are governed by the laws of [Your Jurisdiction]. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].

The marketplace operator may update these terms at any time. Continued use of the platform after the effective date of any changes constitutes acceptance. We will notify vendors of material changes via email or a prominent notice on the Vendor Dashboard at least 14 days in advance.

By registering or continuing to operate as a vendor, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.
